General Terms and Conditions

§ 1 Provider and scope
(1) The provider and your contractual partner is Keychannel (M. Kiwan), Owner: Mohamad Kiwan, Engerstraße 154, 32051 Herford, Deutschland, email: info@keychannel.de, phone: +4915259648379 (hereinafter "we").
(2) These Terms and Conditions apply to all orders placed via our online shop keychannel.de. The version in force at the time of your order applies.
(3) Any conflicting terms of your own apply only if we expressly agree to them in writing.
(4) A consumer is any natural person who enters into a legal transaction predominantly for private purposes (§ 13 of the German Civil Code, Bürgerliches Gesetzbuch, BGB). A trader is anyone who, when concluding the contract, acts in the exercise of their commercial or independent professional activity (§ 14 BGB).
§ 2 Our products
(1) We sell rights of use to standard software in the form of licence keys (product or activation keys). You use the key to activate the software with the respective manufacturer. As a rule, you download the software itself from the manufacturer's download source; you receive information on this with the delivery.
(2) Scope, term (for example perpetual licence or subscription), number of devices, language and system requirements are set out in the respective product description.
(3) If you wish, we additionally supply a USB stick with installation files by post ("USB shipping" option).
§ 3 Conclusion of the contract
(1) The presentation of products in the shop does not constitute a binding offer but an invitation to place an order.
(2) You place products in the basket, enter your email address and, where required, your name and address, choose the delivery and payment method, consent to delivery before the end of the withdrawal period (see § 6(3)) and click "Order with obligation to pay". Until then, you can check and correct your entries at any time. By clicking, you submit a binding offer to purchase.
(3) The contract is concluded when we accept your offer. Acceptance takes place through the order confirmation by email or through delivery of the licence key, whichever occurs first.
(4) The language of the contract is German. Translations of the shop and of these Terms and Conditions into other languages are for information purposes only.
(5) We store your order data. You can access the Terms and Conditions at any time at keychannel.de/agb. We also send you the order data, Terms and Conditions and withdrawal policy by email.
§ 4 Prices and shipping costs
(1) The final price shown in the shop is the total price you pay. It includes statutory VAT (currently 19 % in Germany). If you buy as a consumer from another EU country, we pay the VAT of your country (One-Stop Shop procedure, OSS).
(2) Delivery by email is free of charge. For USB shipping, we charge the surcharge shown in the basket. Physical data carriers (USB sticks) are shipped exclusively within Germany.
(3) Visitors from Switzerland, Liechtenstein, Poland, Sweden, Denmark, Norway, the Czech Republic, Hungary, Romania and the United Kingdom see prices in their local currency and can choose euros instead. We convert the euro price using the current reference rate of the European Central Bank and round it. The amount in the currency shown to you during checkout is decisive; exactly this amount is charged and shown on the invoice.
§ 5 Payment
(1) Payment is processed via our payment service provider Mollie B.V. You can see the available payment methods during checkout and on the Payment methods page.
(2) The purchase price is due immediately upon conclusion of the contract. For bank transfers, we deliver as soon as the amount has reached us.
(3) Voucher codes are valid only within the stated period and cannot be applied retrospectively to orders that have already been paid. Payment of the value in cash is excluded.
§ 6 Delivery
(1) We deliver licence keys by email to the address provided after payment has been received, usually shortly after payment is received, at the latest within 24 hours. Please also check your spam folder.
(2) We ship the USB stick via DHL. The delivery time within Germany is usually 2 to 4 working days after payment is received.
(3) We usually deliver the licence key shortly after payment is received, i.e. before the withdrawal period has ended. We therefore ask you during checkout for your express consent that we begin performance before the end of the withdrawal period. You also confirm that you thereby lose your right of withdrawal for the licence key. Details are set out in the Withdrawal policy.
§ 7 Rights of use and origin
(1) Upon full payment, you receive the simple (non-exclusive) right to use the software in accordance with the manufacturer's licence terms. Whether this right is limited in time (for example subscription) or unlimited (perpetual licence) is stated in the product description. You accept the manufacturer's licence terms vis-à-vis the manufacturer during installation or activation.
(2) Each licence key may only be activated as often as stated in the product description. Passing it on is only permitted within the limits of applicable law and only if you permanently give up your own use.
(3) A large proportion of our licences originate from volume licensing agreements (licence packages that businesses buy for many devices). These licences were first sold in the EU or EEA with the manufacturer's consent; the first buyers no longer need them. The resale of such licences is permitted under certain conditions in accordance with the European principle of exhaustion.
(4) We have no influence on the operation of the manufacturer's activation servers and update services. Your statutory rights remain unaffected.
§ 8 Statutory warranty
(1) The statutory rights in respect of defects apply. For licence keys and digital content, §§ 327 et seq. BGB apply to consumers; for the USB stick, §§ 434 et seq. BGB apply.
(2) A defect exists in particular if a key cannot be activated, has already been used or does not match the product ordered. Please report this to us with your order number and, if possible, a screenshot of the error message. We will then supply a replacement key or refund the purchase price.
(3) Updates and security patches are provided by the manufacturer. If we inform you about an update that is necessary for the software to continue to function as agreed, and about the consequences of not installing it, we are not liable for defects that result solely from your not having installed it (§ 327f(2) BGB).
(4) For traders, the limitation period for claims for defects is one year from delivery, insofar as legally permissible. This does not apply to claims for damages under § 10.
§ 9 Guarantee
In addition to the statutory rights, we provide a functionality guarantee for licence keys. Its content, duration and conditions are set out on the Guarantee page. Your statutory rights are not restricted by it.
§ 10 Liability
(1) We are liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and within the scope of a guarantee we have given.
(2) In the case of slight negligence, we are only liable if we breach an essential contractual obligation. Essential obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely. In that case, our liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.
(3) In the event of data loss, we are only liable for the damage that would also have occurred if you had backed up your data regularly and in a manner appropriate to the risk.
§ 11 Right of withdrawal
Consumers have a statutory right of withdrawal. Details, the early expiry for digital content and the model withdrawal form can be found in our Withdrawal policy.
§ 12 Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer conciliation body. If you have any problems, please write to us directly at info@keychannel.de; we will work with you to find a solution.
§ 13 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you live in another country as a consumer, you retain the protection of the mandatory consumer protection provisions applicable there.
(2) If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is our place of business.
(3) Should any provision of these Terms and Conditions be invalid, the remaining provisions remain valid.
